Terms of Service

These Terms of Service (the "Terms") govern your access to and use of the Equiply platform and equiply.it (the "Service"), operated by Maritime Ventures S.r.l. ("Equiply", "we", "us"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.

1. About the Service and who may use it

Equiply is an online marketplace that connects businesses seeking industrial and maritime equipment ("Seekers") with businesses that offer such equipment for rental, leasing, or hybrid financing ("Suppliers"). The Service is intended for businesses and professionals only; it is not directed at consumers. You must be at least 18 and authorised to act for the business you represent.

2. Our role — we are an intermediary

Equiply provides the platform that enables Seekers and Suppliers to find each other and communicate. Any agreement for the rental, lease, financing, or purchase of equipment is concluded solely between the Seeker and the Supplier. Equiply is not a party to those agreements, does not own or inspect the listed equipment, and does not guarantee the quality, safety, legality, or accuracy of any listing, quote, or the ability of either party to complete a transaction. Seekers and Suppliers are solely responsible for their dealings with each other.

3. Accounts

You are responsible for the accuracy of the information you provide, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorised use. We may suspend or terminate accounts as described in Section 9.

4. Listings and content (Suppliers)

Suppliers are responsible for their listings and must ensure they are accurate, lawful, not misleading, and that they hold all rights necessary to offer the equipment and to upload any content. You grant Equiply a non-exclusive, worldwide, royalty-free licence to host, display, and distribute the content you submit for the purpose of operating and promoting the Service.

5. Acceptable use

You agree not to: post false, misleading, infringing, or unlawful content; use the Service for any illegal purpose; circumvent or abuse the request or messaging features; scrape, overload, or attempt to gain unauthorised access to the Service; or upload malware. We may remove content or restrict access that breaches these Terms or applicable law.

6. Fees

Access during the current phase may be free or subject to fees notified to you in advance. Any fees, payment terms, and taxes will be communicated before they apply. This section will be updated when paid features are introduced.

7. Business-user provisions (Regulation (EU) 2019/1150 — "P2B")

For Suppliers established in the EU who use the Service as business users, the following apply in addition to the rest of these Terms:

• Ranking. Where listings or search results are ranked, the main parameters are relevance to the Seeker's stated needs (equipment type, access model, location, availability) and completeness and recency of the listing. We do not accept payment for improved ranking; if that ever changes we will disclose it.
• Differentiated treatment. We do not currently give favourable treatment to our own or affiliated offerings over those of Suppliers.
• Suspension, restriction, and termination. If we restrict, suspend, or terminate a Supplier's access, we will provide a statement of reasons on a durable medium, except where prohibited by law or where the account is repeatedly or manifestly in breach.
• Internal complaint-handling. Suppliers may submit complaints about the Service to hello@equiply.it. We will consider complaints, respond within a reasonable time, and communicate the outcome.
• Mediation. Beyond our internal process, Suppliers may seek to resolve disputes through mediation. We are willing to engage in good-faith mediation; the competent Italian courts remain available (Section 11).

8. Illegal content and notices (Regulation (EU) 2022/2065 — "DSA")

• Point of contact. For notices about illegal content or communications from authorities, contact hello@equiply.it. You may communicate with us in English or Italian.
• Notice and action. Anyone can report a listing or content they consider illegal by emailing the address above with the location (URL) and reasons. We will assess valid notices and may remove content or restrict accounts, and will inform affected users of our decision and the reasons, where required.

9. Term, suspension, and termination

You may stop using the Service and delete your account at any time (see the Privacy Policy). We may suspend or terminate your access if you breach these Terms or the law, to protect the Service or other users, or if required by law. Provisions that by their nature should survive termination will survive.

10. Disclaimers and limitation of liability

To the maximum extent permitted by law, the Service is provided "as is" and "as available" without warranties of any kind. Equiply is not liable for the acts, omissions, listings, or content of Seekers or Suppliers, or for any agreement between them. To the extent permitted by law, Equiply's total liability arising out of or relating to the Service is limited to the fees you paid to Equiply, if any, in the 12 months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under mandatory law (including for wilful misconduct or gross negligence).

11. Governing law and jurisdiction

These Terms are governed by the laws of the Italian Republic and applicable EU law. Subject to any mandatory rules, the courts of Genova, Italy have exclusive jurisdiction over disputes arising from these Terms or the Service.

12. Changes to these Terms

We may update these Terms. For business users, we will give at least the notice period required by the P2B Regulation before material changes take effect. Your continued use after changes take effect constitutes acceptance.
